MailZip Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern access to and use of MailZip Services, including but not limited to:

• MailZip Code (Digital Smart Address)
• MailZip Business Profile
• MailZip Website
• MailZip Mobile Applications
• MailZip APIs
• MailZip Verification Services
• MailZip Advertising Services
• Future MailZip Products and Services

These Terms constitute a legally binding agreement between MailZip and every user of the platform.

By accessing, registering, or using MailZip Services, you agree to be bound by these Terms.

If you do not agree, you must immediately discontinue use of the Services.

2. Definitions

MailZip
Means MailZip, its parent company, subsidiaries, affiliates, successors, assigns, employees, contractors, and authorized representatives.

MailZip Code
Means a unique digital smart address assigned to a location by MailZip.

Business Profile
Means a digital business identity and listing created through MailZip.

Services
Means all products, software, websites, APIs, applications, and features offered by MailZip.

User
Means any person, business, organization, institution, or government entity using MailZip Services.

Verified Business
Means a business that has completed MailZip's verification process.

3. Eligibility

Users must:

• Be at least eighteen (18) years old
• Have authority to act on behalf of an organization

Users warrant that information submitted to MailZip is accurate, complete, and lawful.

MailZip reserves the right to request additional verification documents at any time.

4. User Account Registration

To access certain services, users may be required to create an account.

Users agree to:

• Provide accurate information
• Maintain updated information
• Protect login credentials
• Notify MailZip of unauthorized access

Users are responsible for all activities occurring under their accounts.

5. MailZip Code Terms

5.1 Nature of MailZip Codes

MailZip Codes are proprietary digital identifiers created by MailZip for location identification purposes.

A MailZip Code:

• Is not a government-issued address
• Does not confer ownership rights
• May be modified where necessary for operational reasons

5.2 User Responsibilities

Users shall:

• Provide accurate location information
• Avoid creating duplicate codes
• Refrain from fraudulent address creation

MailZip may suspend or revoke any MailZip Code obtained through false information.

5.3 Ownership

All MailZip Codes remain intellectual property of MailZip.

Users are granted a limited, non-exclusive, revocable license to use assigned MailZip Codes.

6. Business Profile Terms

6.1 Profile Creation

Businesses may create profiles containing:

• Business Name
• Address
• Contact Details
• Products
• Services
• Operating Hours
• Images
• Promotional Content

6.2 Accuracy of Information

Businesses warrant that all information submitted:

• Is accurate
• Is lawful
• Does not infringe third-party rights

MailZip may remove misleading information without notice.

6.3 Verification

MailZip may offer verification services.

Verification does not guarantee:

• Business legitimacy
• Product quality
• Financial stability

Verification merely indicates that specified documents were reviewed.

7. Subscriptions and Paid Services

MailZip may offer:

• Premium Business Profiles
• Advertising Packages
• Lead Generation Services
• Verification Services
• API Access
• Enterprise Solutions

Fees may be modified upon prior notice.

7.1 Payment Obligations

• Pay all applicable fees
• Provide valid payment information
• Settle outstanding invoices

Failure to pay may result in service suspension.

7.2 Refund Policy

• Payments are non-refundable
• Subscription fees already incurred are non-refundable
• Promotional purchases are non-refundable

MailZip may issue discretionary refunds where appropriate.

8. Advertising Services

Businesses using MailZip advertising services warrant that advertisements:

• Are lawful
• Are not deceptive
• Do not infringe intellectual property rights
• Comply with Nigerian advertising laws

MailZip reserves the right to reject advertisements.

9. User Generated Content

Users retain ownership of content uploaded to MailZip.

By uploading content, users grant MailZip a worldwide, royalty-free, non-exclusive license to:

• Display
• Publish
• Distribute
• Reproduce
• Promote such content for platform operation and marketing

10. Acceptable Use Policy

Users shall not:

• Engage in fraud
• Impersonate others
• Upload malicious software
• Attempt unauthorized access
• Harvest data unlawfully
• Interfere with platform security
• Use MailZip for illegal activities

Violations may result in immediate suspension.

11. Intellectual Property Rights

All intellectual property relating to MailZip remains the exclusive property of MailZip.

Including:

• Software
• Source Code
• Databases
• Algorithms
• Logos
• Trademarks
• MailZip Codes
• Platform Design

Users may not:

• Copy
• Reverse Engineer
• Modify
• Resell
• Redistribute MailZip technology without written permission

12. Third-Party Services

MailZip may integrate third-party services.

MailZip is not responsible for:

• Third-party websites
• Payment gateways
• Mapping providers
• Telecommunications providers
• External software providers

Use of such services is subject to their own terms.

13. Service Availability

MailZip does not guarantee:

• Continuous availability
• Error-free operation
• Uninterrupted access

Services may be suspended for:

• Maintenance
• Security upgrades
• Emergencies
• Regulatory requirements

14. Disclaimer of Warranties

MailZip Services are provided on an "AS IS" and "AS AVAILABLE" basis.

MailZip makes no warranties regarding:

• Accuracy
• Reliability
• Availability
• Suitability for a specific purpose

To the fullest extent permitted by law, all implied warranties are excluded.

15. Limitation of Liability

To the maximum extent permitted by law, MailZip shall not be liable for:

• Loss of profits
• Loss of business
• Loss of revenue
• Loss of goodwill
• Loss of data
• Indirect damages
• Consequential damages

Liability Cap

Where liability cannot be excluded, MailZip's total liability shall not exceed the total amount paid by the affected user to MailZip during the twelve (12) months immediately preceding the claim.

If no fees were paid, liability shall not exceed NGN 50,000.

16. Indemnification

Users agree to indemnify and hold harmless MailZip against:

• Claims
• Damages
• Penalties
• Costs
• Legal Fees

Arising from:

• User misconduct
• Breach of these Terms
• Violation of applicable laws
• Intellectual property infringement

17. Force Majeure

MailZip shall not be liable for delays or failures resulting from:

• Natural Disasters
• Epidemics
• Government Actions
• Civil Unrest
• Internet Failures
• Power Outages
• Cyberattacks Beyond Reasonable Control

18. Account Suspension and Termination

MailZip may suspend or terminate accounts for:

• Fraud
• Illegal Activities
• Security Threats
• False Information
• Violation of These Terms

MailZip may remove content associated with terminated accounts.

19. Dispute Resolution

Parties shall first attempt amicable resolution.

If unresolved within thirty (30) days, disputes shall be referred to mediation.

If mediation fails, disputes shall be referred to arbitration in Nigeria under applicable arbitration laws.

The arbitration decision shall be final and binding.

20. Governing Law

These Terms shall be governed by the laws of the Federal Republic of Nigeria.

Any proceedings not subject to arbitration shall be brought before competent courts in Nigeria.

21. Regulatory Compliance

Users agree to comply with:

• Nigeria Data Protection Act (NDPA)
• Federal Competition and Consumer Protection Act
• Cybercrimes Act
• Anti-Money Laundering Laws
• Any Applicable Nigerian Regulations

22. Changes to Terms

MailZip may amend these Terms from time to time.

Updated versions shall become effective upon publication.

Continued use constitutes acceptance of amended Terms.
